Terms of Service

By engaging Metanoia Ops (operating name of Kryštof Ekl, sole trader) for services, you (“Client”) agree to the following terms.

1. Services provided

Metanoia Ops provides Notion consulting, custom workspace building, process management consulting, and workflow automation services (including AI integrations). Services are delivered remotely and may include:

• Notion workspace design and implementation
• Role-based system configuration
• Process mapping and optimization
• Automation setup and integration
• Training and ongoing support
• Consulting calls and asynchronous support

Specific scope, deliverables, and timelines are defined in individual project agreements or service packages.

2. Payment terms

Project-based work

• First instalment is due before work begins
• Final instalment is due immediately after handover
• Additional instalments (if any) are due as specified in the project contract

Hourly packages

• Payment is due in full before services are rendered
• Purchased hours are valid for 6 calendar months from purchase date
• Time is tracked based on actual work performed (calls, asynchronous work, building, troubleshooting)

Monthly retainers

• Payment is due in full before the beginning of each new monthly period
• Unused hours may roll over for a maximum of 1 month
• We reserve the right to cap monthly hours at the originally agreed amount (e.g. a 15-hour monthly retainer with 5 rolled-over hours does not obligate delivery of 20 hours that month if at full capacity)
• Time is tracked based on actual work performed (calls, asynchronous work, building, troubleshooting)

Other offers

• Payment is due at time of booking via Stripe checkout
• No refunds after service delivery (unless covered by specific promotion terms)

The refund policy is specified separately in our Refund Policy.

3. Confidentiality & data processing

Both parties agree to keep confidential information private and use it only for service delivery purposes.

Client data

• Metanoia Ops acts as a data processor when accessing Client workspaces
• We do not sell, share, or disclose Client data to third parties
• Data may be shared with trusted service providers (tools, contractors) solely for service delivery
• We require access to workspace structure and workflows, not sensitive business data
• All data handling complies with GDPR and EU privacy regulations

Use of subcontractors

Metanoia Ops may engage qualified subcontractors or virtual assistants to deliver portions of services. All subcontractors are bound to the same confidentiality and quality standards. Metanoia Ops remains fully responsible for all deliverables.

4. Intellectual property

Client ownership

• Deliverables created specifically for Client (custom workspaces, templates, documentation) become Client property upon full payment
• Client receives a worldwide, perpetual licence to use all delivered materials for internal business use

Metanoia Ops ownership

• Pre-existing frameworks, templates, and methodologies remain the property of Metanoia Ops
• Metanoia Ops retains the right to reuse general techniques, processes, and non-confidential knowledge gained during projects

Restrictions

• Client may not resell, redistribute, or publicly share deliverables as standalone products without written permission

5. Disclaimers & limitations

Platform limitations

Metanoia Ops is not responsible for:

• Limitations, bugs, outages, or changes to Notion or other third-party platforms
• Broken automations or integrations caused by platform updates
• Service interruptions beyond our control

We offer troubleshooting support for platform-related issues at our standard hourly rate.

No guarantees

We do not guarantee specific business outcomes, revenue increases, or productivity metrics, unless a promotion or a contract states otherwise. Results depend on factors including Client implementation, team adoption, and business context. We provide expert guidance and tools; execution responsibility rests with the Client.

6. Limitation of liability

Metanoia Ops’ total liability shall not exceed the fees paid by Client for the specific service or package in question. We are not liable for indirect, consequential, or incidental damages, including lost profits or business interruption.

7. Termination

By Client

• Client may terminate at any time (the Refund Policy applies)

By Metanoia Ops

• We reserve the right to terminate services if Client breaches these terms or engages in abusive behaviour
• In such cases, refunds are provided on a case-by-case basis

8. General terms

Modifications

Metanoia Ops may update these Terms of Service at any time. Clients will be notified of material changes. Continued use of services constitutes acceptance of updated terms.

Dispute resolution

We prioritize open communication and mutual problem-solving. Most issues can be resolved through direct conversation. These terms are governed by Czech law. Any disputes will be resolved in Czech courts.

All payments are processed via Stripe or direct bank transfers.

By purchasing services or signing a project agreement, you confirm that you have read, understood, and agree to these Terms of Service.
